If you choose Balance Corporation to act as your registered agents, we will assist you in meeting your compliance requirements by:

  • Ensuring you receive your company’s annual statement through utilising our direct ASIC Edge Lodgement portal. This allows you to check the details of your company, and advise if any information may be incorrect. This enables us to make changes on the client’s behalf promptly, preventing any ASIC late lodgement fees.

  • In addition to the annual statement, Balance Corporation will provide a copy of solvency minutes. Solvency minutes are to be used at a meeting of directors, to indicate whether the company remains solvent under s347 of the Corporation Act*. Under ASIC regulation, the Solvency resolution must be made by directors within two months of the annual review date (Unless financial reports have been lodged with ASIC in the past 12 months).

* Solvent (adjective): If, in the directors’ opinion, the company will be able to pay off their debts as they fall due.

 
 

Keeping you on top of all lodgement requirements

Balance Corporation will ensure that your company’s details are up to date through the lodgement of required ASIC forms through our Edge connection with ASIC.

The most common forms which companies require assistance in lodgement include:

  • Form 361/362: Cessation/Appointment of registered agent

  • 410B: Application for Reservation of Name

  • Form 484: Change of Company Details:
    This encompasses most changes for a registered entity, including changes of address of the company or directors/shareholders, appointment/resignation of officeholders (including directors and secretaries) and change to the share register of a company (including issues, transfers, disposals or appointment of new shareholders)

 Finally, we are able to provide company and fee statements to our clients on request. Ensuring that you ‘stay in the know’ about your business.
